Enterprise Integrity and Compliance Guidelines

I. Company and Employees

The company always adheres to the people-oriented principle, safeguards the fundamental rights and interests of employees, focuses on employees' career development, cares for their growth, stimulates their enthusiasm, creativity and cohesion, and promotes the common growth of employees and the company to achieve a "win-win" situation.

(I) Establishing a Harmonious Labor Relationship

The company adheres to the principle of legal employment, safeguards employees' fundamental rights and interests in terms of equal treatment, remuneration and benefits, and democratic management, and earnestly fulfills its responsibility to respect and care for employees.
  1. Legal Employment
    The company follows the principles of legality, fairness, equality and voluntariness, consensus through consultation, and good faith. It strictly concludes, performs, changes, terminates or dissolves labor contracts with employees in accordance with the provisions of relevant laws and regulations such as the Labor Law and Labor Contract Law.
  2. Equal Treatment of Employees
    The company opposes any form of discrimination and provides fair employment and promotion opportunities for all employees. It adheres to the principle of equal treatment and does not discriminate against employees based on race, ethnicity, nationality, gender, age, religion or other factors.
  3. Safeguarding Employees' Rights and Interests
    The company respects and cares for employees, earnestly safeguards their legitimate rights and interests, strictly pays employees' remuneration in accordance with relevant regulations, and legally guarantees employees' rights to participate in social insurance and enjoy rest and vacation.
  4. Realizing Democratic Management

(II) Creating a Sound Working Environment

  1. Maintaining Good Work Order
    Employees shall abide by labor disciplines and work rules to improve work performance. In the workplace and external communications, they shall conduct office work in a civilized manner, treat others with courtesy, and strive to create a working atmosphere of mutual respect, trust and assistance.
  2. Protecting Work Safety and Privacy
    The company strives to create and work with employees to maintain a safe, healthy and suitable working environment, and provides or equips labor protection supplies in production and operation sites in accordance with occupational health regulations. Employees shall respect each other's personal privacy and shall not spread others' privacy.
  3. Opposing Discrimination and Harassment
    The company opposes any form of discrimination and harassment. No one shall engage in threats, violence, bullying or other similar behaviors, or insult, discriminate against or harass others in words or deeds.

(III) Avoiding Conflicts of Interest

Employees shall properly handle the relationship between personal interests and the company's interests, minimize conflicts of interest in the performance of work duties or personal activities, and shall not harm the company's interests or reputation. For existing or potential conflicts of interest, employees shall promptly report to or consult with department heads and relevant company departments, and take the initiative to avoid such conflicts in accordance with relevant regulations. To avoid conflicts of interest, the company and employees shall comply with the following norms:
  1. Make business decisions based on the company's best interests, not personal interests;
  2. Anticipate and avoid situations that may lead to conflicts of interest;
  3. During the period of working for the company, employees shall avoid participating in matters related to other companies with which they have personal interests, regardless of whether they can directly or indirectly influence the business decisions of such companies;
  4. Report any personal interests related to the performance of duties to superiors;
  5. Not participate in the operation of other companies that compete with the company, nor work for them;
  6. Not engage in any activities that compete with the company. If an employee is unable to confirm whether a certain behavior will cause a conflict of interest, he/she shall promptly consult with the department head and relevant departments, and handle it in accordance with the company's decision.

II. Social Responsibility

The company shall actively respond to the calls of the CPC Central Committee, the State Council, and the municipal Party committee and government, earnestly fulfill its social responsibilities, actively carry out strategic cooperation with relevant government departments and enterprises, and effectively provide service guarantees.

The company shall establish a comprehensive safety guarantee management system and an environmental protection and quality work responsibility system. While strengthening the management of work safety and safe operation and enhancing education on work safety and safe operation, it shall pay attention to employees' health and safety and provide a healthy and safe working environment for employees.   3. Personnel engaged in hazardous operations or special operations must receive special safety operation training in accordance with relevant national regulations and obtain corresponding qualifications before taking up their posts;
  4. Employees shall actively participate in work safety education and training organized by the company, learn and master the safe operation skills of their posts, enhance the ability to prevent accidents and handle emergencies, and understand the potential hazards and preventive measures in the workplace and work posts;
  5. The company formulates multi-level and all-round emergency plans and conducts regular drills, and employees shall actively participate in and cooperate with such drills;
  6. If employees discover potential accidents or other unsafe factors, they shall immediately report to the on-site work safety management personnel or the person in charge of the unit; the person who receives the report shall handle it in a timely manner;
  7. The company and employees have the right to refuse any illegal command and forced risky operations, and such illegal command and forced risky operations shall be stopped in a timely manner.

The company and employees shall:
  1. Strictly abide by the company's relevant rules, regulations and processes on environmental protection;
  2. Actively fulfill the obligations and responsibilities of environmental protection in work and life, and take the initiative to participate in environmental protection public welfare activities;
  3. Actively discover and report environmental protection-related problems;
  4. Advocate the concept of low-carbon life and protect the ecological environment.

(III) Safeguarding Occupational Health

The company pays attention to employees' health and safety, continuously improves the health management system, strengthens work safety management, enhances work safety education, and protects employees' health and safety in all aspects. The company and employees shall:
  1. Firmly establish the awareness of occupational health;
  2. Consciously participate in pre-service occupational health training and regular in-service occupational health training;
  3. Take the initiative to learn and master knowledge and skills related to occupational health and occupational disease prevention;
  4. Strictly abide by the laws and regulations, national standards, industry standards and internal rules and operating procedures of the company on occupational hazard prevention.

IV. Asset and Financial Tax Management

The company and employees shall strictly abide by the laws, regulations and regulatory requirements related to finance, taxation and asset management to ensure that the company's assets and resources are used reasonably and efficiently.

(I) Correct Use and Protection of Company Assets

Company assets include tangible assets and intangible assets. Tangible assets include but are not limited to the company's funds, real estate, vehicles, equipment and facilities, machinery and equipment, and other items owned by the company; intangible assets include but are not limited to the company's brand image, information records, customer data, and intellectual property rights. The company and employees shall:
  1. Use and dispose of assets from the perspective of promoting the company's development, avoid waste, damage and misuse, and protect assets from theft and infringement;
  2. Without approval and authorization, shall not arbitrarily sell, transfer or dispose of company assets in other ways, nor use company assets for personal purposes;
  3. Strictly manage real estate and other real properties, and strictly control all links such as asset inventory, transfer, relocation, scrapping and disposal;
  4. Promptly report any discovered acts or risks that infringe or embezzle company assets.

(II) Strict Implementation of Financial and Tax Systems

The company complies with financial accounting regulations, strictly implements the company's relevant review and approval procedures, takes effective measures to ensure that financial information and reports are true, accurate and complete, and strictly complies with the requirements for financial voucher management to ensure compliance with the relevant provisions of financial and tax systems. The company adheres to conducting tax registration and tax declaration in accordance with the law, strictly abides by financial discipline, strengthens the awareness of tax payment in accordance with the law, complies with tax laws and policies, provides corresponding statements and materials for tax declaration, and does not conceal tax information or evade taxes. The company and employees shall:
  1. Strictly implement the review and approval procedures for the company's external payments, financial advances and reimbursements, and truthfully and accurately record them in the company's accounts, financial statements and documents;
  2. Not conceal the company's income, nor intercept, retain, embezzle or transfer the company's funds, nor reimburse expenses that have not actually occurred or expenses incurred for non-business reasons;
  3. Comply with the provisions on the purchase, issuance, acquisition, storage and cancellation of invoices, and strictly prohibit falsely issuing or reselling invoices;
  4. Ensure that the company's accounting records and financial reports comply with relevant laws, regulations and accounting standards, ensure that information and data are true, accurate, complete and timely, and shall not conceal, forge or alter relevant financial records, or compile or provide false financial reports and related information.

V. Contract Management

The company and all employees shall attach great importance to contract management, and conduct full-process management from preparation, negotiation, conclusion, entry into force, performance, modification, termination, dispute resolution to filing and archiving in accordance with the requirements of laws and regulations, so as to effectively prevent contract risks.

(I) Contract Conclusion Management

The company strictly controls the entry of contracts, improves the contract review mechanism, and ensures the feasibility of contract terms, the thoroughness of contract clauses, the equality of contract rights, the integrity of contract procedures and the controllability of contract risks. The company and employees shall:
  1. Give priority to using national standard (model) contract texts or standard contract texts formulated by the company when concluding contracts;
  2. Submit the contract text to relevant departments for review before concluding the contract in accordance with the company's internal regulations;
  3. The review department shall carefully grasp the review key points according to the contract type, and the description of the rights and obligations in the contract shall be detailed, accurate, reflect the contract negotiation results and be enforceable;
  4. Perform the contract approval procedure before concluding the contract in accordance with the company's internal regulations;
  5. Conclude contracts in a standardized manner, and the contract information shall be true, accurate and complete; backdating of contracts is prohibited;
  6. Contracts shall be concluded in writing. When the company concludes contracts with external parties, they shall be signed by the legal representative or an agent authorized by the legal representative. No one shall conclude contracts in the name of the company without authorization.

(II) Contract Performance Management

After a contract is concluded, the company and employees shall abide by the principle of good faith and fully perform their contractual obligations to avoid the loss of rights or being held liable for breach of contract due to failure to perform the contract. At the same time, the company and employees shall dynamically monitor the performance of contractual obligations by the other party to the contract throughout the process, and protect their rights in a timely manner in accordance with the law in response to the other party's failure to perform the contract.

VI. Information Protection

The company and all employees shall strictly abide by the laws, regulations and regulatory requirements related to trade secrets, network security and data information protection, maintain the company's information security, protect the company's own rights and interests from infringement, and shall not infringe on the legitimate rights and interests of others.

(I) Strict Management of Confidential Information

The company continuously improves the confidentiality management mechanism, continuously carries out confidentiality publicity and education, and prohibits any act of stealing, prying into or using confidential information in violation of regulations. The company and employees shall:
  1. Strictly follow the relevant management processes before providing confidential information to external parties;
  2. Without authorization and approval, shall not take computers, U disks and other media storing confidential information out of the company;
  3. Properly store and use materials and information related to work to ensure that confidential information is not leaked;
  4. If employees discover confidential information leakage incidents or hidden dangers, they shall stop such incidents and report them so that the company can take remedial measures in a timely manner;
  5. Avoid involving confidential information in public places and personal communications, and avoid disclosing confidential information in publicly published articles and media interviews;
  6. Employees shall properly complete the resignation handover procedures, and return the assets belonging to the company in accordance with regulations, especially documents and electronic files containing trade secret information;
  7. The company may sign confidentiality agreements or non-compete agreements with resigned employees as appropriate.

(II) Legal Collection and Use of Information

The company collects, uses and processes personal information (including information of customers, business partners, stakeholders and other individuals) in accordance with the principles of legality, legitimacy and necessity, and takes prudent measures to protect information security; it prohibits the illegal processing, transmission, trading, provision or disclosure of collected information. The company and employees shall:
  1. Not steal personal information, nor publish prohibited information or information that may affect the interests of others;
  2. Not disclose non-public information to persons outside the company, including family members and friends, unless such disclosure is necessary for business purposes. Even in such cases, appropriate steps (such as signing a confidentiality agreement) shall still be taken to prevent the abuse of information;
  3. Not disclose non-public information to other persons within the company unless there is a business reason to know such information, and both parties shall maintain confidentiality in accordance with the company's information protection system procedures.

(III) Attaching Importance to Network Information Security

The company and employees shall strengthen network security awareness, learn network security protection and emergency response skills, and shall not actively or intentionally log on to illegal websites, receive suspicious emails, download malicious software, or publish or receive illegal or non-compliant information; shall not illegally intrude into or interfere with others' networks or steal network data; shall not provide support for others' acts that endanger network security.
