Anti-Corruption and Anti-Bribery Agreement (2025 Version)
1.1 This Agreement shall apply to all cooperative projects between Party A and Party B in their business transactions, including but not limited to procurement, sales, agency, and cooperative development.
1.2 For matters not covered by this Agreement, the two parties may conclude a supplementary agreement separately, which shall have the same legal effect as this Agreement.
2.1 Both parties shall strictly comply with national laws and regulations and resolutely resist illegal acts such as corruption and bribery.
2.2 Both parties shall establish and improve anti-corruption and anti-bribery systems, strengthen internal supervision, and ensure the compliance of business activities.
2.3 Both parties shall strengthen communication and cooperation to jointly prevent and crack down on corruption and bribery.
3.1 Party A shall:
(1) Establish and improve the anti-corruption and anti-bribery system, and clarify the responsible persons and responsible departments;
(2) Provide anti-corruption and anti-bribery training to employees to enhance their awareness of integrity;
(3) Conduct strict review of sensitive links in business transactions to ensure compliance;
(4) Severely handle acts that violate the anti-corruption and anti-bribery system.
3.2 Party B shall:
(1) Establish and improve the anti-corruption and anti-bribery system, and clarify the responsible persons and responsible departments;
(2) Provide anti-corruption and anti-bribery training to employees to enhance their awareness of integrity;
(3) Conduct strict review of sensitive links in business transactions to ensure compliance;
(4) Severely handle acts that violate the anti-corruption and anti-bribery system.
4.1 If either party violates the provisions of this Agreement and causes losses to the other party, it shall bear corresponding liability for breach of agreement.
4.2 The breaching party shall compensate the non-breaching party for the direct and indirect losses incurred thereby.
5.1 Any dispute arising between the two parties in the performance of this Agreement shall be resolved through friendly consultation.
5.2 If consultation fails, either party may file a lawsuit with the people's court at the place where the dispute arises.
6.1 This Agreement shall take effect from the date of signature and seal by both parties and shall remain valid for ____ years.
6.2 This Agreement is made in duplicate, with each party holding one copy, and both copies shall have the same legal effect.
6.3 For matters not covered by this Agreement, the two parties may conclude a supplementary agreement separately.
